Voting on Amendments to the
Articles of Incorporation and the By-Laws


The items in the list below will be voted on at the Annual Meeting by Written Ballot.  Voters must either attend the meeting in person or give their vote via Proxy to a TPIA Member who attends the meeting in person.  Please review these documents prior to the meeting.

At the 2023 Annual Meeting a working group was formed to propose changes to the By-Laws and if appropriate to the Articles of Incorporation. That group has considered a wide range of potential issues with the By-Laws and come forward with a number of proposed changes. TPIA solicited comments from Members via its website. It has reviewed all the comments received and come up with final proposals to amend the Articles of Incorporation and the By-Laws.

Steven Hazen, acting under a power of attorney for Robert MacDonald and Lloyd Locklear has requested that TPIA Members vote on the Article of Incorporation and By-Laws proposed amendments that he submitted prior to last year's meeting, co-signed by Dana Watkins and Robert Murch, but then withdrew pending the results of the TPIA working groups.

In addition, Mr. Hazen requested that TPIA make available his comments on the working groups proposed changes to the Articles of Incorporation and the By-Laws.  No other members made similar requests.  The documents submitted by Mr. Hazen are below.  The By-Laws working group did consider Mr. Hazen's comments in coming up with its final recommendations.
